Proxy Information

Notice is hereby given, in accordance with the Bylaws of Kansas Medical Mutual Insurance Company, the Annual Meeting of the Members will convene at 1:00 p.m., Friday, June 27, 2025, for the purpose of electing directors and transacting such other business as may properly come before the meeting. The Annual Meeting will be held in the Board Room at the KAMMCO offices located at 623 S.W. 10th Avenue, Topeka, Kansas.

 

Pursuant to Article III, Section 2, of the Amended and Restated Bylaws of the Company, the Governance and Nominating Committee has recommended the following persons to serve on the Board of Directors for a term expiring at the Annual Meeting of Members in 2028.

  • *James (Jay) H. Gilbaugh, III, MD, Physician (Wichita, KS)
  • *Vallerie L. Gleason, CEO, NMC Health (Newton, KS)
  • *Adam M. Goodyear, MDPhysician (Lawrence, KS)

*Currently serves on the Board and is eligible for re-election

Candidate Biographies

James (Jay) H. Gilbaugh, III, MD

Dr. Gilbaugh received his undergraduate degree from the University of Oregon in 1983 and his doctorate of medicine in 1987 from the Oregon Health Sciences University. Dr. Gilbaugh is a urologist who has practiced in Wichita, Kansas, since 1994.

Dr. Gilbaugh has previously served as an ex-officio KAMMCO Board member as President-Elect, President, and Past-President of the Kansas Medical Society. Dr. Gilbaugh is the current Chair of the KAMMCO Board of Directors. This would be Dr. Gilbaugh's third and final term as an elected member of the KAMMCO Board.

Vallerie L. Gleason

Ms. Gleason graduated from Newman University with a Bachelor of Science in Business, and she also holds a Master of Business Administration degree from Baker University. Ms. Gleason joined Newton Medical Center in 2024 as Vice President of Physician Services, and prior to becoming President and CEO in 2016, as the hospital's Chief Clinical Integration Officer.

This would be Ms. Gleason's second term as a KAMMCO Board Member.

Adam M. Goodyear, MD

Dr. Goodyear received his undergraduate degree from the University of Oklahoma in 2006 and his doctorate of medicine in 2010 from the University of Texas Medical Center at Houston. Dr. Goodyear is an orthopedic surgeon who has practiced in Lawrence, Kansas, since 2016. Dr. Goodyear is a member of the American Association of Hip and Knee Surgeons, a fellowship member of the American Academy of Orthopedic Surgeons, and a member of the Kansas Orthopedic Society.

This would be Dr. Goodyear's second term on the KAMMCO Board.

Qualification of Members

The membership of this corporation shall be limited to any Individual or any Entity that has entered into a contract of insurance with the corporation. Each member who had a contract of insurance with Kansas Medical Mutual Insurance Company as of May 7,2025, shall be entitled to one (1) vote.  The voting of the proxies is very important to your company.

Proxy Deadline

Although proxies will be accepted and counted up to Friday, June 27, at 10:00 a.m., voting your proxy as soon as possible would be greatly appreciated.
